These Affiliate Programme Terms and Conditions (“Agreement”) set out the terms on which you may join and participate in the Note Dr Ltd Affiliate Programme (“Programme”). Please read this document carefully and retain a copy for your records.

By registering for the Programme, you agree to be legally bound by this Agreement. If you do not agree with any provision, do not register and do not use any Affiliate Link.

1. Definitions
   
   1. Affiliate or You means the individual or legal entity whose application to join the Programme is accepted by Note Dr Ltd.
   2. Note Dr, We, Us, or Our means Note Dr Ltd, a company registered in England and Wales (company number 15700568) whose registered office is at 71-75 Shelton Street, London, WC2H 9JQ, United Kingdom .
   3. Programme means the Note Dr Affiliate Programme, as described in this Agreement.
   4. Effective Date means the date on which your application to join the Programme is accepted in writing by Note Dr.
   5. Platform means the Note Dr website and services available at https://www.notedr.com/ and its subdomains, including any API and software interfaces.
   6. Affiliate Link means the unique URL provided by Note Dr to track referrals.
   7. Qualified Customer means a customer who:
      
      1. has not previously held an account with Note Dr;
      2. registers for an account within 60 days of clicking your Affiliate Link;
      3. completes payment for a subscription to Note Dr services.
   8. Commission means the fee payable by Note Dr to you for each sale to a Qualified Customer, as set out in clause 1.g.
   9. Net Revenue means the total subscription fees actually received by Note Dr from a Qualified Customer, excluding VAT, refunds, charge-backs and any taxes or payment processing fees.
   10. Confidential Information means all non-public information disclosed by one party to the other, designated confidential or that ought reasonably to be regarded as confidential.
   11. Third Party means any person or entity other than Note Dr or the Affiliate.
2. Application and Acceptance
   
   1. To apply, complete the online registration form. We may accept or reject your application at our sole discretion.
   2. Acceptance is effective upon our written confirmation. The Effective Date is the date of that confirmation.
   3. You confirm you are at least 18 years old and have full capacity to enter this Agreement.
   4. You act as an independent contractor. Nothing in this Agreement creates an employment, partnership or agency relationship.
3. Affiliate Obligations
   
   1. You must:
      
      1. comply with all applicable laws, regulations and industry codes;
      2. provide accurate and complete information when applying and promptly update any changes;
      3. use only promotional materials and trademarks provided or approved by Note Dr;
      4. display a clear and conspicuous disclosure of your affiliate relationship with Note Dr on any marketing channels;
      5. ensure that your marketing is not misleading, deceptive or otherwise improper.
   2. You may not:
      
      1. bid on or purchase any keywords or domain names including “Note Dr” or confusingly similar terms;
      2. offer incentives to customers in exchange for purchase other than those expressly authorised by Note Dr;
      3. refer yourself or otherwise generate referrals from your own accounts.
   3. Breach of this clause may lead to immediate termination and forfeiture of unpaid Commission.
4. Commissions and Payment
   
   1. You will earn a Commission equal to 15% of Net Revenue from each Qualified Customer on their first year of subscription.
   2. Commission is only paid on Net Revenue actually received by Note Dr. We may claw back or deduct any Commission relating to refunded or reversed payments.
   3. All Commissions are subject to a 30-day validation period following receipt of the relevant payment by the Qualified Customer. This period allows for payment clearance, fraud checks, and refund handling.
   4. Once the 30-day period has passed, validated Commissions become payable on the first working day of the following calendar month.
   5. Payments are made in GBP by bank transfer, provided you have submitted valid bank details. A minimum balance of £50 must be met before payment is issued; any balance below this threshold rolls over.
5. Referral Tracking
   
   1. Tracking of referrals is managed via cookies and our chosen third-party tracking provider (for example, Rewardful). A click on your Affiliate Link sets a cookie valid for 60 days.
   2. If a customer clicks multiple Affiliate Links, the last click within the cookie period takes precedence.
   3. Note Dr is not responsible for tracking failures caused by users disabling cookies or other technical limitations.
6. Confidentiality
   
   1. Each party shall keep the other’s Confidential Information secret and only use it to perform this Agreement.
   2. Confidential Information may only be disclosed to employees or contractors on a need-to-know basis, provided they are bound by confidentiality obligations.
   3. Confidential obligations survive termination of this Agreement.
7. Intellectual Property
   
   1. We grant you a limited, non-exclusive licence to use our names, logos and promotional materials strictly in accordance with our guidelines.
   2. All goodwill generated by your use of our intellectual property accrues to Note Dr.
8. Term and Termination
   
   1. This Agreement begins on the Effective Date and continues until terminated by either party on 30 days’ written notice.
   2. We may terminate immediately if you materially breach this Agreement or engage in fraudulent or unlawful conduct.
   3. On termination, you must cease use of all promotional materials and remove Affiliate Links.
   4. Termination does not affect payment of Commission already earned for active Qualified Customers.
9. Indemnity

   You indemnify Note Dr against all liabilities, losses, damages, costs and expenses arising from your breach of this Agreement or your marketing activities.

10. Limitation of Liability
    
    1. Nothing in this Agreement limits liability for death or personal injury caused by negligence, or for fraud.
    2. Subject to clause 10(a), Note Dr’s total liability is limited to the total Commission paid to you in the 12 months preceding any claim.
11. Changes to Agreement

    We may amend this Agreement by providing 30 days’ notice. Continued participation after the notice period indicates acceptance. You may terminate if you disagree.

12. Governing Law and Jurisdiction

    This Agreement is governed by English law. The courts of England and Wales have exclusive jurisdiction.

13. Miscellaneous
    
    1. No failure to exercise any right constitutes a waiver.
    2. If any provision is invalid, the remainder remains in force.
    3. You may not assign your rights without our prior written consent.

By registering for the Note Dr Affiliate Programme, you confirm that you have read, understood and agree to this Agreement.
